GOVERNING LAW AND JURISDICTION
The Terms of Use and the Policies shall be construed in accordance with the applicable laws of India as stated herein below :-.
(a) In the event of any dispute between the VASTURAVIRAJ, its employees, officers, agents its Affiliates, Channel Partners, Vendors or Licensors and its online Customers, is not resolved within the 30-days period, any party or the Parties shall within thirty (30) days of identification of the dispute appoint and refer the dispute to a Mediator, who should be retired Court judge or any Advocate having minimum experience of ten year in resolving commercial disputes or experienced & matured business person/professional having minimum commercial experience of ten years, be appointed by the Parties to act as a Mediator (the “Mediator”), to resolve the deadlock. The Mediator shall within thirty (30) days of the referral of the dispute render his findings and suggestion for resolving the Deadlock.
(b) If such Dispute/Deadlock is not resolved between the Parties pursuant to above said mediation, any of the Parties may refer the same to a sole arbitrator to resolve the dispute or differences. In the event the Parties are unable to agree upon a sole arbitrator, the dispute or the difference shall be referred to a panel of three arbitrators, one arbitrator to be nominated by each Party/Parties and the third arbitrator to be appointed by the two arbitrators. The place of arbitration shall be exclusively in Thane and the language of arbitration shall be in English. The arbitration proceedings shall be governed by the Indian Arbitration & Conciliation Act, 1996. The arbitrator’s award shall be substantiated in writing. The arbitrators shall also decide on the costs of the arbitration procedure. The Parties shall submit to the arbitrator’s award and the same shall be enforceable in any competent court of law.
(c) If such dispute/deadlock is not resolved even through above said Arbitration proceedings, the Courts at Thane alone have exclusive jurisdiction to entertain any dispute arising out of any issue between/amongst the parties . The definition of terms used, interpretation of this Agreement and rights of all parties involved shall be construed under and governed by the laws of the Republic of India.
Without any prejudice to particulars listed hereinabove, VASTURAVIRAJ shall have the right to seek and obtain any injunctive, provisional or interim relief from any court of competent jurisdiction to protect its trade-mark or other intellectual property rights or confidential information or to preserve the status quo pending arbitration.
